our Bank.

Board
Secretary

Reporting to the
CEO, the Board Secretary will be responsible for providing high quality board
secretarial services and and oversight of compliance with corporate governance
and regulatory require

ments by FNB and its Group of Companies.

Requirements

Duties and
responsibilities include, but are not limited to:

  • Identifying
    and advising on the company’s risks in accordance with statutory &
    legal requirements and recommend appropriate action to enable the
    company’s compliance with such provisions.
  • Providing
    directors collectively and individually with detailed guidance on duties,
    responsibilities, powers, matters of ethics and good governance as
    required.
  • Participating
    in relevant meetings and advising directors on the company statutory
    impact on processes, procedures and policies.
  • Monitoring
    changes in relevant legislation and regulatory environment and advise
    directors on appropriate action.
  • Preparing
    various statutory or corporate governance reports, returns and arranging the
    necessary filing and ensure effective budget management and timely
    reporting.
  • Arranging
    Board committee meetings as required by law, company procedure
    requirements as well as preparing meetings, distributing minutes packs and
    ensuring that appropriate items are tabled at Board meetings and
    subcommittee meetings.

Experience,
skills and qualifications required for this role are as follows:

  • Relevant
    qualification (degree) or related in a governance related field, law or
    accounting or other appropriate degree.
  • Qualification
    as Chartered Secretary will be a distinct advantage.
  • At
    least 6 years work-experience with in-depth experience in an
    administrative environment and supporting board and/or its committees.
  • Knowledge
    of corporate governance and regulatory requirements.

  • A high
    level of commitment, accuracy, integrity and quality
  • Excellent
    organizational, communication, writing skills and administrative skills
  • Results
    oriented and ability to work under pressure
