Responsibilities
- Assists
in the provision of effective commercial legal services and advice to
ensure that appropriate governance framework is followed and that the
legitimate interests of the Group are protected. - Assists
in ensuring that there is mitigation of legal and commercial risk exposure
(through due attendance to regulatory compliance, proper processes and
sound legal support). - Assists
in the implementation and maintenance of effective documentation and records
management system for safekeeping of all contracts and agreements in line
with statutory and regulatory prescribed time periods and the Group’s own
requirements. - Assists
in ensuring that the Group complies with prevailing statutory and
regulatory requirements, and ensure the implementation of changes in
legislation and regulation within the Group. - Assists
with the training of relevant stakeholders on changes in legislation, and
with the induction of new Board members when required. - Liaises
with licensing authorities to ensure that all licenses required for the
Group business are in order. - Assists
in the management and maintenance of sound relationships with regulators,
supervisory bodies, shareholders and other relevant key stakeholders. - Assists
in developing and implementing contract processes and procedures to
protect the interests and rights of the Group. - Assists
with the review of draft contracts and prepare legal documents including
contracts and agreements and assists user departments on the preparation
of agreements and contract negotiations. - Assists
in the provision of company secretarial services to the Group including:
Compilation and distribution of board packs for all meetings Updating the
Directors’ declaration of interest register on an annual basis Assisting
with taking of minutes at all meetings and the timely distribution thereof
Preparing for the Annual General Meetings of the Group
Qualifications
and Experience Required
Degree in Law (LLB) and admitted to practice in the Courts of Botswana. Five
(5) years post qualification in Board Secretarial Services and traceable
references.
