This is your opportunity to be part of the newly
formed Minerals Development Company Botswana whose mandate is the effective
management and optimizing the company’s investment portfolio in mining. The
company is interested in attracting professionals who are comfortable with

Main
purpose of the role

To be responsible for the effective and
efficient management of the Legal Department, the provision of legal advisory
services and ensuring effective management of legal and contractual risks for
the MDCB.

Job
description

  • Participates
    in the organizational strategy development process
  • Monitor
    local and international developments on corporate governance and bring
    these to Board’s and CEO’s attention.
  • Advise
    the Board of Directors via the CEO of any changes to such regulation and
    implication thereof to the MDCB.
  • Review
    and provide legal advice on tender documents Review on-going cases and
    advise management accordingly.
  • Liaise
    with relevant departments to ensure that where legal risks have been
    identified, appropriate courses of action have been taken.
  • Review
    legislative, regulatory and governance developments that may impact the
    MDCB and ensure the Board is appropriately briefed on such.
  • Provide
    input in development of the annual report to ensure that:Statutory
    deadlines are met, Statutory and regulatory disclosures are validated,
    particularly in relation to statements given on corporate governance
    standards and practices in the MDCB
  • Liaise
    with external regulators and advisors
  • Review
    all contracts or any other documentation where the MDCB has committed
    itself and assess legal implications that need to be brought to the
    executive management’s attention.
  • Maintains
    awareness of budgetary control issues including cost control
  • Review
    and advise management on legal implications of internal policies and
    procedures.
  • Identify
    risk related internal control weaknesses that may affect business strategy
    as developed by Executive Directors and Board thereby mitigating expensive
    errors/mistakes going forward.
  • Identify
    key governance and legal protocols for business operation

Requirements,
Education and Experience

  • Bachelor’s
    degree in Law or related. A post graduate will be an added advantage.
  • Member
    of a professional body
  • At
    least 10 years post qualification experience in a similar position, 5
    years of which should have been in senior management capacity preferably
    in the Mining Sector.
