1.  
 BACKGROUND
Bella
Flowers Ltd is a Private Company registered in Rwanda under Company code
103449745 0n 20th October 2014 and the Government of Rwanda/MINAGRI
/NAEB owns 100% of its shares. It owns a land of 35 Ha in Gishali, Rwamagana
District, and Eastern Province on which Flower production is being undertaken.
The
Company is seeking to recruit highly skilled, self- motivated and experienced
persons to fill the following post:

 Company Secretary:
Responsible
for ensuring the compliance of the organization in relation to legal and
regulatory practices, as well as issues of corporate governance
a.  
 RESPONSIBILITIES:
Statutory:
  • Inform
    the Board on all laws relevant to or affecting meetings of shareholders
    and directors and file any documents required of the company.
  • Ensure
    that minutes of all meetings of shareholders or directors are properly
    recorded and all statutory registers are properly maintained.
  • Certifying
    in the annual financial statements of the Company that the Company has
    filed with the Register General all such returns as are required of the
    Company in accordance with the Company’s Act.
  • Ensuring
    that a copy of the Company’s annual financial statements are sent in
    accordance with the Company’s Act to every person entitled to such
    statements or report in accordance to the Company’s Act.
Responsibility
to the board:
  • Ensure
    that appointment of directors is properly carried out and offer
    orientation and practical support to newly appointed directors,
    particularly, the non-executive directors.
  • Facilitate
    the Board and committee members to access information to enable them
    constructively contribute to board meetings and discussions.
  • Compile
    board papers and filter them to ensure good standards of corporate
    governance.
  • Assist
    in the implementation of corporate strategies by ensuring that the board’s
    decisions and instructions are properly carried out and communicated.
Responsibility
to the shareholders:
  • Communicate
    with shareholders and ensure that due regard is paid to their interests.
  • Act
    as a primary point of contact for shareholders and other business partners
    especially with regard to Corporate Governance.
Responsibility
to the company:
  • Ensure
    that the Company complies with all statutory and regulatory requirements
    with due regard to the specific business interests of the Company.
  • Be
    the named representative on legal documents.
  • Ensure
    effective commercial and legal input into all transactions across the
    company.
  • Provide
    expert opinion on legal and commercial contracts being executed by the
    company
  • Contribute
    to meeting discussions as and when required and advise members of the
    legal, governance, accounting and tax implications of proposed policies.
  • Ensure
    that the Company and the directors operate within the law.
  • Liaise
    with and instruct external Company lawyer(s).
  • Be
    available to provide a central source of guidance and advice within the
    company on matters of business ethics and good governance.
  • Be
    the custodian of registers such as register of members, directors’
    interests, interests of shares.

 JOB REQUIREMENTS:
Education
and Experience
  • Master’s
    degree in Law preferably in commercial law
  • Minimum
    of 3 years of relevant legal experience with the legal department of a
    private firm, government or international organization.
Knowledge,
Skills and Abilities
  • Keen
    eye for detail and good knowledge of company law, international trade laws
    and regulations
  • A
    commercial frame of mind
  • Integrity
    and discretion when handling confidential information
  • An
    interest in and understanding of business practices and corporate
    governance
  • Strong
    communication and interpersonal skills
  • Ability
    to meet strict and multiple deadlines
