currently looking for experienced professionals in the Following area;
Head
Legal & Company Secretary
Key
Responsibilities
:
Act
as Chief Legal Advisor to the Bank and provide quality and timely legal support
and advice on company secretarial, credit-legal, and operational, dispute
resolution and debt recovery undertakings within the Bank.
Specific
responsibilities:
Plan
organize and  Minute the proceedings of the Senior Management, Board
Committee and Shareholders meetings and maintaining records and statutory books
as required by law and policies. Manage correspondences with the Board and
shareholders and formulate and implementing effective and efficient Board
processes to achieve maximum value and efficiencies including Board selection,
orientation, meetings and evaluations etc.
Advising
the Internal stakeholders on key regulatory and statutory developments that
impact the Bank’s business and ensuring compliance with required regulatory and
statutory requirements.
Providing
timely and creative legal advisory services and guidance to the business to
facilitate the business to meet its financial objectives and manage legal
risks. 
Providing
quality and timely credit–legal services in facilities negotiation,
structuring, drafting, documentation and collateral perfection and  ensure
the Bank obtains complete and quality documentation and securities and in
support of its lending.
Providing
quality and timely advisory and transactional procurement support in
negotiation, preparation, review and execution of service, operational,
technology and corporate contracts between the Bank and third parties.
Providing
quality and timely advisory and transactional support with respect to other
commercial transactions.
Managing
the Bank’s dispute resolution portfolio and supporting debt recovery 
portfolio by developing and implementing best-fit strategies and engaging and
guiding competent external counsel for litigation matters  
Engaging,
guiding and liaising with external advocates as key service providers on
credit-legal, commercial, litigation, debt recovery matters and general
advisory and holding them accountable to agreed performance targets through
proactive performance management.
Conducting
legal risk identification, analysis and support in developing mitigating
measures and overseeing the implementation of any required remedial actions.
Continuously
training and engaging internal stakeholders on matters affecting legal service
delivery with a view of improving the quality of legal support offered to the
business.
Establishing
and growing key stakeholder relationships and engaging external stakeholders’
e.g. RDB, Commercial courts Administrators, Rwanda Banker’s Association, Rwanda
Bar Association, Rwanda Revenue Authority etc. to facilitate seamless service
delivery and progressive policy considerations.
Developing
and documenting all departmental procedures as well as standard documentation
and checklists for legal related matters and ensuring nil deviations.
Legal
department information and records management-proper, organized and safe
records and document management
Legal
department team leadership: Build and develop a highly effective legal team and
department.
Qualification
requirements & experience:
Educational
qualifications:

Degree in business law, LLM is an added advantage.
Company
secretarial course is a distinct advantage.
Experience:
  • Minimum
    5 years in the banking sector, law firm or judicial system
  • At
    least two years’ experience on a Company secretarial related function,
  • Good
    understanding of the judicial system in Rwanda,
  • Good
    understanding of the banking environment,
  • Has
    ability & experience in interacting with internal & external
    clients, external Lawyers & Bailiffs.
  • Excellent
    organizational skills,
  • Effective
    research and good communication skills,
  • Proven
    ability to think strategically and act tactically,
  • Have
    excellent legal drafting skills Computer Literacy,
  • Proven
    ability to communicate in English, Knowledge of French is an advantage
