Prowind General Counsel

Reporting to President of Prowind Canada I

nc. Prowind, a renewable energy developer,
partner, owner and operator, based in Hamilton,
ON is seeking a general corporate
commercial lawyer, ideally with energy experience. Location for this position
is flexible.

Job Function:
• Provide efficient and timely delivery of general legal services:
• Research and evaluate different risk factors regarding business decisions and
operations
• Apply effective risk management techniques and offer proactive advice on
possible legal issues
• Provide clarification on legal language or specifications to all levels of
the organization
• Produce template agreements for participants and partners in Prowind programs
• Negotiate key agreements relating to renewable sector including: credit
agreements, partnership agreements, equipment supply contracts, power purchase
agreements, land rights agreements, interconnection agreements, EPC contracts,
operations and maintenance agreements.
• Direct and manage specialty outside counsel
• Function effectively as part of a team dealing with project development,
permitting, construction and operations, and debt financing, in a collaborative
environment.
• Contract or permanent part-time position (20 hours/week)

Minimum Preferred Requirements:
• Three years of general corporate commercial practice experience
• Experience within the power/energy sector
• Experienced in project development and financing
• Real estate experience or familiarity with cooperative corporations is an
asset
• Experienced in working in fast-paced, team environments
• US experience be considered an asset
