EXECUTIVE
OPPORTUNITY (Re-Advertised)
The
Rwanda Energy Group (REG) is a group of companies created out the Reforms that
the Government of Rwanda (GoR) is implementing in the Energy and Water Sectors
aimed at improving the performance of the industry to meet the national targets
for Energy and Water Services as laid out under the EDPRS II and other national
policies.
REG
took over the Energy operations formerly under the Energy Water and Sanitation
Authority (EWSA) in Augus

t 2014. The Group has two subsidiaries, the Energy
Utility Corporation Ltd in charge of operations of generation plants, network
and sale of electricity while the Energy Development Corporation Ltd is in
charge of new generation, transmission and electricity access development
projects.

As
part of the ongoing effort to create strong corporate structures and institutional
capacity, The Board of REG wishes to recruit a competent and result oriented
individual in the role of CORPORATE
SECRETARY[Ref:H001]
. This is a strategic role in the Group and
covers the affairs of the REG Holding Company and the two subsidiaries.

Job
Purpose
To
oversee the management and coordination of the Board and Governance Services
for REG and provide technical expertise and guidance to the Group with respect
to legal services and other related oversight and advisory responsibilities
Key
Duties/Responsibilities :
Board
Services
  • Offer Legal advice and dispute
    resolution in support to the Board of REG.
  • Initiate the development of Board
    Calendar, work plans and budgets
  • Serve as Secretary to Board
    Committees and report on recommendations to the main Board
  • Monitor and ensure effective
    implementation of Board decisions and resolutions
  • Co-ordinate the Board Programmes and
    Activities including Logistical Support.
  • Provide quality assurance on all
    reports and publications for the Board.
Regulation
and Compliance
  • Contribute to policy formulation and
    standards and review these periodically to keep abreast with the changing
    environment and other legal/regulatory requirements.
    • Support the Board and Executive
      Management with compliance with Legal/Regulatory Framework
    • Review corporate legal documents
      initiated by Subsidiaries and in collaboration with the transaction and
      legal advisory team and or any other external service providers.
    • Maintain Holding Company and
      Corporate Registry and Copies of All Official Board and Executive
      Documents. Legal
      services
Prosecute
and/or defend cases by or against REG and provide any required support to the
Subsidiary legal teams.
